1. Acceptance of Terms

Welcome to Glow Guide – Facial Harmony (“Glow Guide”). These Terms of Use (“Terms”) form a legally binding agreement between you and Aura Labs Inc. (“Company,” “we,” “our,” or “us”) governing your access to and use of the Glow Guide mobile application, website, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of the Services.

2. Eligibility and Accounts

By creating an account or using the Services, you represent and agree that:

You will provide accurate, current, and complete information.

You are responsible for maintaining the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account.

You are at least 13 years old, or older if required by your jurisdiction.

If you are a minor, you have obtained consent from a parent or legal guardian before using the Services.

We reserve the right to suspend or terminate accounts that violate these Terms, our policies, or applicable law.

3. Privacy

Your privacy matters to us. Our collection, use, storage, and protection of personal information, including images you submit, facial analysis inputs, app interactions, device information, subscription status, and usage data, are described in our Privacy Policy, which is incorporated by reference into these Terms.

Do not use the Services or provide personal information if you are under the age of 13.

You should not upload images of other people unless you have the legal right and appropriate consent to do so.

4. Messaging and Notifications

By creating an account or using the Services, you may receive:

Administrative messages related to your account, security, or use of the Services.

Transactional or service-related communications.

Optional marketing communications, which you may opt out of at any time.

Service-related notifications may still be sent even if you opt out of marketing communications.

5. Acceptable Use

You agree not to:

Violate any applicable laws or regulations.

Use the Services for unlawful, harmful, abusive, deceptive, harassing, discriminatory, or misleading purposes.

Upload, submit, or share images or content that you do not have the right to use.

Upload images of minors unless you are the parent or legal guardian or otherwise have appropriate legal authority.

Use the Services to shame, bully, rate, rank, harass, exploit, or demean another person.

Use the Services to make decisions about employment, housing, lending, insurance, education, eligibility, access to services, or other high-impact decisions.

Attempt to reverse engineer, copy, modify, scrape, exploit, or interfere with the Services or underlying technology.

Interfere with or disrupt the security, integrity, or functionality of the Services.

Violations may result in suspension or termination of access.

6. Use of AI and Facial Harmony Features

Glow Guide uses artificial intelligence and related technologies to provide general aesthetic insights, facial harmony observations, and self-improvement suggestions.

You acknowledge and agree that:

Glow Guide is designed for general informational, aesthetic, and self-reflection purposes only.

The Services do not provide medical, dermatological, psychological, dental, orthodontic, surgical, cosmetic procedure, or other professional advice.

The Services do not diagnose, treat, cure, or prevent any condition.

The Services do not determine your attractiveness, worth, identity, health, character, or social value.

Any scores, labels, observations, or recommendations are generated estimates and should not be interpreted as objective facts.

AI-generated outputs may be inaccurate, incomplete, subjective, inconsistent, or inappropriate in some contexts.

Results may vary based on image quality, lighting, angle, facial expression, device camera, user inputs, and model limitations.

You are solely responsible for how you interpret or act on information provided by the Services.

Glow Guide is not a substitute for professional advice. Before making decisions involving medical care, skincare treatment, cosmetic procedures, orthodontic treatment, mental health, or other professional services, you should consult a qualified professional.

7. Body Image, Self-Perception, and Well-Being

Glow Guide is intended to provide general facial harmony insights and aesthetic guidance in a neutral, non-judgmental way.

The Services are not intended to encourage unhealthy comparison, body dissatisfaction, obsessive appearance monitoring, disordered behavior, or harmful self-evaluation.

If using the Services causes distress, anxiety, compulsive checking, negative self-image, or other emotional discomfort, you should stop using the Services and consider speaking with a trusted person or qualified professional.

If you are experiencing an emergency, thoughts of self-harm, or a mental health crisis, contact local emergency services or a crisis support resource immediately. Glow Guide is not intended for emergency use.

8. User Content

You retain ownership of content you submit to the Services, including photos, images, text inputs, profile information, preferences, and related materials (“User Content”).

By using the Services, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, display, transmit, store, and analyze User Content solely as necessary to operate, maintain, provide, secure, personalize, and improve the Services, in accordance with our Privacy Policy.

You represent and warrant that:

You own or have the necessary rights to submit your User Content.

Your User Content does not violate these Terms, applicable law, or the rights of any third party.

You will not submit content that is unlawful, harmful, abusive, exploitative, invasive of privacy, or otherwise inappropriate.

We may remove or restrict access to User Content if we reasonably believe it violates these Terms, applicable law, or platform requirements.

9. Intellectual Property

All software, designs, features, interfaces, trademarks, graphics, text, models, prompts, analysis methods, recommendations, and other content within the Services, excluding User Content, are owned by or licensed to Aura Labs Inc. and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or exploit any part of the Services without our prior written permission.

No rights are granted to you except as expressly stated in these Terms.

10. Third-Party Services

The Services may include integrations with or links to third-party services, platforms, payment processors, analytics providers, cloud infrastructure providers, or other tools.

We are not responsible for third-party content, policies, practices, availability, or performance. Your use of third-party services is at your own risk and may be subject to their own terms and privacy policies.

11. Paid Features and Subscriptions

Some features of the Services may require payment or an active subscription.

Payments and subscriptions may be processed through the Apple App Store, Google Play Store, RevenueCat, or other authorized payment providers.

Subscriptions may automatically renew unless canceled in your app store account settings before the end of the current billing period.

Subscription terms, pricing, renewal details, trial periods, and cancellation instructions will be disclosed at the point of purchase or in the applicable app store interface.

Fees are non-refundable except as required by applicable law or the policies of the relevant app store or payment provider.

We are not responsible for billing errors, subscription management issues, refunds, or payment processing decisions made by app store providers or third-party payment processors.

You are responsible for reviewing subscription terms before making a purchase.

12. App Store Terms

If you download or use the Services through the Apple App Store, you acknowledge that:

These Terms are between you and Aura Labs Inc., not Apple.

Apple is not responsible for the Services or their content.

Apple has no obligation to provide maintenance or support for the Services.

Apple is not responsible for any claims relating to the Services, including product liability claims, legal compliance claims, or consumer protection claims.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Your use of the Services must also comply with the Apple Media Services Terms and any applicable App Store rules.

13. Changes to the Services

We may modify, update, suspend, or discontinue any part of the Services at any time, including features, analysis methods, content, pricing, subscription offerings, or availability.

We do not guarantee that any specific feature, score, recommendation, analysis, or output will remain available.

14. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services if:

You violate these Terms.

Your use creates legal, safety, security, operational, or reputational risk.

We are required to do so by law, platform rules, or a third-party service provider.

Termination does not limit any rights or remedies available to us under these Terms or applicable law.

Certain provisions of these Terms survive termination, including provisions related to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

15. Disclaimers

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted operation.

We make no guarantees regarding:

The accuracy, reliability, completeness, or usefulness of AI-generated outputs.

The availability or uninterrupted operation of the Services.

The suitability of the Services for any specific purpose.

The effect of following any recommendation, routine, or suggestion.

The consistency of results across different images, devices, lighting conditions, or users.

Glow Guide provides general aesthetic and informational tools only. It is not a medical, dermatological, psychological, dental, orthodontic, surgical, cosmetic procedure, or professional advisory service.

16. Limitation of Liability

To the fullest extent permitted by law:

We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

We are not liable for loss of profits, data, goodwill, business opportunities, or intangible losses.

We are not liable for actions you take based on AI-generated outputs, facial harmony observations, recommendations, scores, or other information provided by the Services.

Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to us for the Services in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless Aura Labs Inc., its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, or expenses arising from:

Your misuse of the Services.

Your violation of these Terms.

Your violation of applicable law or third-party rights.

Your User Content.

Your use of the Services to analyze, upload, process, or share images without appropriate rights or consent.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Disputes will be resolved through binding arbitration in New York City, New York, except where prohibited by applicable law.

You waive the right to a jury trial and to participate in class actions, except where such waivers are not permitted by applicable law.

You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@auralabs.capital with the subject line “Arbitration Opt-Out.”

19. Updates to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.

20. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

These Terms, together with our Privacy Policy and any applicable subscription terms, constitute the entire agreement between you and us regarding the Services.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
