1. Acceptance of Terms

Welcome to Saga – AI Mental Health (“Saga”). These Terms of Use (“Terms”) form a legally binding agreement between you and Aura Labs Inc. (“Company,” “we,” “our,” or “us”) governing your access to and use of the Saga mobile application, website, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Services.

2. Eligibility and Accounts

By creating or using an account, you represent and agree that:

  • You will provide accurate, current, and complete information

  • You are responsible for maintaining the confidentiality of your login credentials

  • You are responsible for all activity that occurs under your account

  • You are at least 13 years old, or older if required by your jurisdiction

  • If you are a minor, you have obtained consent from a parent or legal guardian

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

3. Privacy

Your privacy matters to us. Our collection, use, and protection of personal information—including journaling entries, chat inputs, and usage data—are described in our Privacy Policy, which is incorporated by reference.

Do not use the Services or provide personal information if you are under the age of 13.

4. Messaging and Notifications

By creating an account, you consent to receive:

  • Administrative messages related to your account or security

  • Transactional or service-related communications

  • Optional marketing messages, which you may opt out of at any time

Service-related notifications may still be sent even if you opt out of marketing communications.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations

  • Use the Services for unlawful, harmful, abusive, or misleading purposes

  • Submit content that is offensive, threatening, or infringes on others’ rights

  • Attempt to reverse engineer, copy, or exploit the Services or underlying technology

  • Interfere with or disrupt the security or functionality of the Services

Violations may result in suspension or termination of access.

6. Use of AI and Mental Health–Related Features

Saga uses artificial intelligence to provide reflective conversation tools, journaling prompts, and general wellness insights.

You acknowledge and agree that:

  • Saga is designed for general well-being and self-reflection only

  • The Services do not provide medical, psychological, or therapeutic advice

  • Saga does not diagnose, treat, cure, or prevent any mental health condition

  • AI-generated responses are informational and reflective, not professional guidance

  • Outputs may be inaccurate, incomplete, or inappropriate in some contexts

You are solely responsible for how you interpret or act on information provided by the Services.

7. Emergency and Crisis Disclaimer

Saga is not intended for emergency use.

If you are experiencing a mental health crisis, emotional distress, or thoughts of self-harm, you should seek immediate help from a qualified professional or local emergency services.

8. User Content

You retain ownership of content you submit, including journal entries and chat messages (“User Content”).

By using the Services, you grant us a limited, non-exclusive, royalty-free license to use User Content solely to operate, maintain, and improve the Services, in accordance with our Privacy Policy.

You may not submit content that violates these Terms or applicable law.

9. Intellectual Property

All software, design, features, trademarks, and content within the Services (excluding User Content) are owned by or licensed to Aura Labs Inc., and protected by intellectual property laws.

You may not copy, modify, distribute, or exploit any part of the Services without prior written permission.

10. Third-Party Services

The Services may include integrations with or links to third-party services, platforms, or tools.

We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

11. Paid Features and Subscriptions

Some features of the Services may require payment or a subscription.

  • Payments are processed through the Apple App Store or Google Play Store

  • Subscriptions may automatically renew unless canceled in your app store settings

  • Fees are non-refundable except as required by law or store policy

  • We are not responsible for billing errors caused by app store providers

12. Termination

You may stop using the Services at any time.

We may suspend or terminate your access if:

  • You violate these Terms

  • Your use poses legal, security, or operational risks

  • We are required to do so by law

Certain provisions of these Terms survive termination.

13. Disclaimers

The Services are provided “as is” and “as available.”

We make no guarantees regarding:

  • Accuracy or reliability of AI-generated content

  • Availability or uninterrupted operation

  • Suitability for any specific purpose

Saga provides general wellness and self-reflection tools only and is not a substitute for professional mental health care.

14. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages

  • Our total liability will not exceed the amount you paid to us in the 12 months preceding the claim

Some jurisdictions do not allow certain limitations, so these may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Aura Labs Inc., and its affiliates from claims, damages, or expenses arising from your misuse of the Services or violation of these Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States.

Disputes will be resolved through binding arbitration in New York City, New York. You waive the right to a jury trial and to participate in class actions.

You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@auralabs.capital.

17. Miscellaneous

  • If any provision is found invalid, the remaining provisions remain enforceable

  • These Terms constitute the entire agreement between you and us

  • We may update these Terms from time to time; continued use constitutes acceptance
